1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Wahob platform, website, and related services (collectively, the "Service") operated by Wahob ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.
2. Description of Service
Wahob is a multi-tenant SaaS platform that provides tools for WhatsApp Business API messaging, including but not limited to:
- Shared team inbox for WhatsApp conversations
- Broadcast and drip campaign management
- AI-powered chatbot builder
- Contact management and CRM
- Workflow automations
- Analytics and reporting
- E-commerce integrations (Shopify, WooCommerce)
- REST API and webhooks
The Service connects to the WhatsApp Business API provided by Meta Platforms, Inc. Your use of WhatsApp messaging features is also subject to Meta's terms, policies, and the WhatsApp Business API Terms of Service.
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized access to your account.
- You must be at least 18 years old to create an account.
- Each account represents a single tenant (workspace). Multi-tenant data isolation applies.
4. Subscriptions and Payment
4.1 Plans and Pricing
The Service is offered on a subscription basis with multiple plan tiers (Starter, Growth, Pro, and Enterprise). Current pricing and features for each plan are listed on our Pricing page. We reserve the right to change pricing with 30 days' advance notice.
4.2 Free Trial
New accounts receive a 14-day free trial with full access to features. No credit card is required during the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
4.3 Billing
- Subscriptions are billed monthly or annually, depending on your selection.
- Payment is due at the start of each billing period.
- All fees are non-refundable unless otherwise stated.
- WhatsApp conversation charges from Meta are billed separately based on your actual usage and Meta's pricing.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:
- Send spam, unsolicited messages, or messages to recipients who have not opted in.
- Violate WhatsApp's Business Policy, Commerce Policy, or any Meta policies.
- Send messages containing malware, phishing links, or deceptive content.
- Use the Service to harass, abuse, threaten, or intimidate any person.
- Upload or transmit viruses, malicious code, or any material that could damage or interfere with the Service.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service in any way that could overburden or impair the infrastructure.
- Resell, sublicense, or redistribute the Service without our written consent.
- Use the Service for any illegal activities, including but not limited to fraud, money laundering, or selling prohibited goods.
We reserve the right to suspend or terminate your account immediately if you violate these acceptable use policies.
6. WhatsApp Compliance
As a user of the WhatsApp Business API through Wahob, you must comply with all applicable WhatsApp and Meta policies, including:
- Obtaining proper opt-in consent from message recipients.
- Respecting opt-out requests and unsubscribe actions.
- Using approved message templates for business-initiated conversations.
- Maintaining message quality to avoid account restrictions from Meta.
- Not using the platform for prohibited business categories as defined by Meta.
Wahob is not responsible for any restrictions, bans, or penalties imposed by Meta on your WhatsApp Business Account due to your messaging practices.
7. Your Data and Content
7.1 Ownership
You retain ownership of all data and content you upload, create, or transmit through the Service ("Your Content"), including contacts, messages, templates, and campaign data.
7.2 License
By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Content solely to provide and improve the Service. We will not use Your Content for any other purpose.
7.3 Data Responsibility
You are responsible for the accuracy, legality, and appropriateness of Your Content. You must ensure that your use of personal data complies with applicable data protection laws (e.g., GDPR, CCPA) and that you have obtained necessary consents from your contacts.
7.4 Data Portability
You may export Your Content at any time through the Service's export features or by contacting our support team. Upon account termination, we will retain Your Content for 30 days before deletion, during which you may request an export.
8. Intellectual Property
The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by Wahob and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.
9. Third-Party Integrations
The Service may integrate with third-party services (e.g., Shopify, WooCommerce, Zapier, HubSpot). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, functionality, or data practices of third-party services.
10. Service Availability and SLA
We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted access and are not liable for downtime caused by:
- Scheduled maintenance (announced in advance)
- Force majeure events
- Third-party service outages (including WhatsApp/Meta)
- Your internet connectivity or hardware issues
11. Limitation of Liability
To the maximum extent permitted by law, Wahob and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Damages arising from message delivery failures, WhatsApp account restrictions, or third-party service issues.
- Damages exceeding the total fees paid by you in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Wahob harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including WhatsApp/Meta policies.
- Your Content or messaging practices.
13. Termination
- You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings.
- We may suspend or terminate your account immediately if you violate these Terms, applicable laws, or WhatsApp policies.
- We may terminate or discontinue the Service (or any part of it) with 90 days' advance notice.
- Upon termination, your access to the Service ceases immediately. Your data will be retained for 30 days before permanent deletion.
14. Dispute Resolution
Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. You agree to waive any right to a jury trial or to participate in a class action.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wahob regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
